During your purchasing process, your Account may interact with third-party payment gateways or logistics partners. Your use of these integrated services is subject to the respective third parties’ terms of service and privacy policies.

2.4 Right to Suspend and Terminate:

To protect the shared interests of our customer community, we reserve the right to decline, suspend, or permanently terminate Accounts without prior notice upon detecting fraud, promotional abuse, Terms violations, or actions detrimental to our brand image.

You are permitted to download or store materials solely for personal appreciation. Copying, imitating, modifying, or commercializing our designs in any form without prior written consent is strictly prohibited.

3.4 Prohibited Conduct:

Building a community that honors beauty and cultural identity is our foremost priority. When using the Services, you agree not to:

- Post offensive, hateful, obscene, provocative, or unlawful content.

6. TERMS FOR CREATIVE PARTNERS AND ARTISTS

6.1 Co-creating Keepsakes with Vietnamese Soul:

To become a collaborating artist featured in ta concept collections, you must submit your portfolio and artwork for evaluation by our curation team. We welcome creative minds eager to convey the natural, architectural, and cultural beauty of Vietnam.

6.2 Authenticity and Ownership:

You may only submit designs over which you hold complete legal rights. Unless agreed otherwise, you retain original copyright to your artwork. You warrant that your submissions do not infringe upon any intellectual property, publicity, or privacy rights of any third party.

6.3 Appraisal and Approval:

To maintain brand alignment, all artworks undergo an appraisal process. ta concept retains full discretion to approve, publish, or delist artworks across platforms and products based on aesthetic direction and market demand without prior notice.

6.4 Grant of Exploitation Rights:

Upon approval of your artwork, you grant ta concept a non-exclusive, transferable, worldwide license to manufacture, reproduce, display, market, and sell souvenir products featuring your design across all our commercial channels.

6.5 Revenue Sharing (Artist Royalties):

For each product sold featuring your artwork, you will receive revenue share based on the formulas and rates explicitly defined in our Partnership Policy.

6.6 Tax Obligations:

You are responsible for personal tax obligations arising from this revenue. In accordance with applicable laws, ta concept may declare and withhold applicable statutory taxes (such as Personal Income Tax) prior to remitting payments.

6.7 Handling Violations:

If your account or partnership status is suspended due to violations of these Terms (particularly copyright infringement or inappropriate content submissions), you forfeit rights to outstanding royalties and may be required to indemnify earnings received during the violation period.

7. CUSTOMER PURCHASE TERMS

7.1 Order Placement Regulations:

All orders placed on ta concept platforms are subject to product availability. We reserve the right to limit purchase quantities, request verification details, or decline/cancel orders (with full refund for prepaid amounts) in cases of system errors or fraud risks. If you encounter errors with an order, please reach out immediately for assistance.

7.2 Personal and Corporate Purchases:

Standard online ordering is designed for personal use or gifting. If you require bulk orders for corporate gifting or events, please contact our team directly for tailored pricing policies and support.

7.3 Pricing, Taxes, and Payment:

7.4 Product Delivery:

7.6 Return and Exchange Policy:

- Malicious Content: Upload comments, reviews, or media that are defamatory, misleading, obscene, threatening, hateful, discriminatory, or unlawful.

- Cybersecurity Breaches: Interfere with, reverse-engineer, decompile code, inject viruses, trojans, or malware, or engage in actions causing service disruptions or server overloads.

- Unauthorized Data Harvesting: Collect or exploit personal information of other users on the platform.

8.2 Responsibility for Content:

You assume full legal responsibility for any content, reviews, or comments you post. ta concept disclaims liability for any losses resulting from user-generated content.

8.3 Moderation Rights:

We retain the full right (without obligation) to moderate, reject, or remove any reviews or comments that violate Community Standards or infringe on intellectual property without prior notice.

8.4 Statutory Disclosures:

ta concept reserves the right to access, preserve, and disclose your account details or content if required by law enforcement or when deemed necessary to protect the assets and safety of ta concept, our customers, and the public.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 Governing Law:

All transactions, rights, and obligations arising from these Terms or related to the use of ta concept Services shall be governed, construed, and enforced in accordance with the laws of the Socialist Republic of Vietnam.

9.2 Good-Faith Negotiation Priority:

At ta concept, we value constructive connections and aim to resolve concerns harmoniously. We commit to responding and working toward a satisfactory resolution within thirty (30) business days.

9.3 Jurisdiction:

In the event that the parties cannot resolve the dispute through good-faith negotiations within sixty (60) days of the initial claim, all disputes shall be submitted to the competent People's Court in Ho Chi Minh City, Vietnam, for final adjudication.

9.4 Individual Basis (Class Action Waiver):

To ensure focused and efficient claim resolution, you agree that any dispute with ta concept shall proceed solely on an individual basis. You waive any right to participate in class-action lawsuits or representative proceedings.

9.5 Limitation Period for Claims:

Notwithstanding any statutory provisions to the contrary, any claim or legal cause of action arising out of or related to our Services must be filed within one (1) year after the occurrence of the underlying event. After this period, any associated claims shall be permanently barred.

10. HANDLING VIOLATIONS OF TERMS OF SERVICE

10.1 Enforcement Measures:

To safeguard the brand and our cultural community, non-compliance with any provision within these Terms of Service may result in ta concept enforcing one or more of the following measures (depending on severity):

- Removing or hiding comments, reviews, or content submitted by you.

- Refusing service or automatically canceling pending transactions.

- Restricting access, suspending, or permanently deleting member Accounts (for Customers) or partnership status (for Artists) without prior notice.

- Revoking promotions, coupon codes, or unlawfully obtained royalties/profits derived from fraudulent conduct, along with associated recovery costs.

- Initiating civil litigation procedures, including preliminary injunctive relief and claims for damages.

- Reporting matters to competent state authorities for criminal prosecution in severe cases (such as intellectual property theft, cyberattacks, or property fraud).
